Based on our corporate philosophy, we have established the following disclosure policy in order to implement speedy and fair information disclosure in order to enhance the exchange of value with our shareholders and other stakeholders.
- 1. Basic Policy

In accordance with the “Rules on Timely Disclosure of Corporate Information by Issuers of Listed Securities, etc.” stipulated by the Tokyo Stock Exchange (hereinafter referred to as the “Timely Disclosure Rules”), the Company considers the necessity of information disclosure and decides on information disclosure. In addition, the Company voluntarily discloses information that does not fall under the scope of the Timely Disclosure Rules, but which it considers important from the perspective of information transparency and fairness.
- 2. Method of Information Disclosure

Information subject to the Timely Disclosure Rules is disclosed via the Timely Disclosure Network (TDnet) operated by the Tokyo Stock Exchange after prior explanation to the Exchange. In addition, disclosure documents such as securities reports and quarterly reports are published through the “Electronic Disclosure for Investors’ NETwork (EDINET)” based on the Financial Instruments and Exchange Act.
Information released in accordance with the respective rules, as well as information that does not fall under the scope of the Timely Disclosure Rules but that the Company considers important, is posted on the Company’s website as soon as possible.
- 3. Silent Period

From the viewpoint of preventing the leakage of information that may affect the stock price and ensuring fairness, the Company, in principle, designates the period from the day after the end of each quarter and full-year accounting period to the scheduled announcement date of each accounting period as a quiet period, during which the Company refrains from disclosing information related to the accounting period and answering questions. However, in the event that there is a prospect of a significant change from the earnings forecast during the quiet period, we will make an announcement in accordance with the Timely Disclosure Rules.

Earnings forecasts, medium-term plans, strategies, and other information announced by the Company that is not a fact of the past are based on information available at the time of the announcement and certain assumptions that the Company considers reasonable. Actual results and strategies may vary significantly due to economic trends, market trends of our company and our customers, exchange rate fluctuations, social conditions, and various other factors.
